Non-completion risk
The Proposed Acquisition is subject to the risk of non-completion of the SSA for
whatsoever reason (other than due to any act or default of AGESB or the Vendors).
The completion of the Proposed Acquisition is conditional upon the conditions
precedent (as set out in Section 1, Appendix I of this announcement) being obtained /
fulfilled or waived, as the case may be. There is a possibility that the Proposed
Acquisition may not be completed due to failure in fulfilling the conditions precedent
within the timeframe prescribed in the SSA.
In the event the conditions precedent are not fulfilled, the Proposed Acquisition may
not be completed, which may result in the failure of the Group to achieve the intended
objectives and benefits of the Proposed Acquisition.
Notwithstanding the above, the Company will take reasonable steps to ensure that the
conditions precedent are met within the stipulated timeframe and that every effort is
made to obtain all necessary approvals for the Proposed Acquisition to be completed
in a timely manner. |
